Software License Agreement

This Software License Agreement (“Agreement”) is a legally binding agreement between you (“you,” “your,” or “Licensee”) and HappilyApps (“HappilyApps,” “we,” “us,” or “our”).

This Agreement applies to macOS applications, WordPress plugins, extensions, add-ons, updates, documentation, license services, support services, and related digital products provided directly by HappilyApps or for which this Agreement is expressly identified as applicable, collectively referred to as the “Software.”

Software obtained through Apple’s App Store is also subject to the applicable Apple and App Store license terms. Unless HappilyApps provides a Custom End User License Agreement through Apple for a particular application, Apple’s Standard End User License Agreement applies to the license for that App Store application.

By purchasing, downloading, installing, activating, accessing, or using Software to which this Agreement applies, you confirm that you have read, understood, and agreed to this Agreement. If you are using the Software on behalf of a company or organization, you represent that you have authority to accept this Agreement on its behalf.

If you do not agree to the applicable license terms, do not install, activate, or use the Software.

1. License Grant

HappilyApps Software is licensed, not sold.

The specific license applicable to a product depends on the product and how it was obtained.

macOS Applications Obtained Directly from HappilyApps

Unless the applicable product page states otherwise, HappilyApps grants you a limited, nonexclusive, nontransferable license to install and use a macOS application obtained directly from HappilyApps on Mac computers that you own or control.

The Software may be used for lawful personal or business purposes consistent with its intended functionality.

A free application does not require payment in order for this license grant to apply.

This license does not transfer ownership of HappilyApps Software, branding, technology, documentation, or other intellectual property to you.

WordPress Products

For a licensed HappilyApps WordPress product, subject to your continued compliance with this Agreement and payment of all applicable fees, HappilyApps grants you a limited, nonexclusive, nontransferable license to install and use the licensed paid features according to the website limit specified for the product.

Unless the applicable product page or written agreement states otherwise, a one-website license may be used on:

  • One live, publicly accessible website; and

  • A temporary local, development, or staging copy used solely to develop, test, or maintain that same website.

A staging or development installation may not be used to operate a separate website, serve a separate customer, or avoid purchasing an additional license.

Each additional unrelated live website requires its own valid license unless the applicable product page or written agreement from HappilyApps expressly states otherwise.

Applications Obtained Through Apple’s App Store

A HappilyApps application obtained through Apple’s App Store is licensed under the end-user license terms applicable to that App Store transaction.

Unless HappilyApps expressly provides a Custom End User License Agreement for the application through Apple, Apple’s Standard End User License Agreement governs the license to the App Store application.

This Agreement does not replace Apple’s applicable App Store license terms unless it is expressly provided as the Custom End User License Agreement for that application.

HappilyApps policies concerning privacy, support, direct services, and other matters may still apply where relevant and where they do not conflict with the applicable App Store terms.

2. Moving a WordPress License

This section applies to HappilyApps WordPress products that use website-based license activation.

You may move a license from one website to another, provided that you first deactivate the license on the previous website.

You may not keep the same one-website license active on multiple unrelated live websites at the same time.

Excessive, automated, or suspicious activation transfers may be temporarily restricted while we investigate possible misuse or license sharing.

This section does not apply to a macOS application that does not use website-based license activation.

3. Annual Subscriptions

Certain paid HappilyApps products, including HappilyApps Pro WordPress products, may be sold as annual subscriptions unless otherwise stated on the applicable product page or at checkout.

An active annual subscription may include:

  • Use of the licensed paid features;

  • Software updates released during the subscription term;

  • Security and compatibility updates when available;

  • Access to license activation services, when applicable;

  • Access to hosted or subscription-dependent features, when applicable; and

  • Priority product support.

The subscription period and included benefits will be identified on the applicable product page or during checkout.

Unless otherwise stated, an annual subscription purchased directly from HappilyApps begins on the date of purchase and continues for one year.

Not every HappilyApps product requires a subscription. Products may also be offered free of charge, as a one-time purchase, or under other terms identified for the particular product.

4. Automatic Renewal, Price Protection, and Cancellation

When automatic renewal is offered for a subscription purchased directly through HappilyApps and you authorize it during checkout, your subscription renews each year under the disclosed terms unless you turn off automatic renewal or cancel before the renewal date.

For each eligible annual subscription purchased directly from HappilyApps, the recurring yearly base price identified at checkout remains protected while that same subscription stays continuously active. We will not raise that protected base price on future renewals of the same continuously active subscription.

Price protection applies to the base subscription price only. Taxes, government charges, optional add-ons, additional websites or license capacity, third-party provider or API charges, and customer-requested plan changes are separate and may change.

We may change prices for new purchases. If a subscription reaches canceled or expired status and you later purchase again, the price and terms then offered to new customers will apply. A temporary failed-payment or on-hold status during an authorized payment-retry or grace period does not by itself end price protection if the subscription is restored before it is canceled or expires.

You may turn off automatic renewal through your HappilyApps customer account when that option is available or by contacting HappilyApps. Doing so prevents the next scheduled renewal charge but does not ordinarily end the current paid subscription period.

Payments and refunds for direct purchases are governed by the HappilyApps Refunds and Returns Policy together with rights that cannot legally be waived.

Subscriptions purchased through an app store or another third-party provider are subject to that provider’s billing, pricing, cancellation, and refund procedures.

5. Subscription and License Expiration

When a paid subscription expires or is canceled without renewal:

  • Access to future updates may end;

  • Priority Pro support may end;

  • New paid downloads may become unavailable;

  • License-dependent or hosted features may stop functioning;

  • Third-party integrations may no longer remain compatible; and

  • HappilyApps may no longer maintain compatibility with future changes to applicable operating systems, WordPress, PHP, WooCommerce, browsers, hosting systems, third-party APIs, or other software.

Some installed functionality may continue to operate after expiration.

Continued operation is not guaranteed, particularly where the Software relies on license validation, hosted HappilyApps services, external APIs, security updates, or ongoing compatibility maintenance.

Expiration does not create a right to updates, hosted services, or paid support released or provided after the subscription term.

This section does not mean that a free HappilyApps product automatically expires merely because it does not have a subscription.

6. Product Support

Support availability depends on the applicable HappilyApps product.

macOS Application Support

Support for HappilyApps macOS applications is available through the support or contact options provided at HappilyApps.com.

Support may include assistance with:

  • Installation or launching the application;

  • Questions about documented product features;

  • Supported compatibility issues;

  • Troubleshooting confirmed product errors; and

  • Guidance concerning supported HappilyApps features.

When requesting support, you may be asked to provide information such as the application name, application version, macOS version, and a description of the problem.

Support does not guarantee that every issue can be reproduced or resolved.

Free WordPress Products

Free HappilyApps WordPress Core products include access to available public documentation and product updates.

Individualized technical support is not ordinarily included with a free WordPress Core product unless HappilyApps states otherwise.

Pro WordPress Product Support

An active paid HappilyApps Pro WordPress subscription includes priority product support for the licensed product unless otherwise stated.

Customers with an active Pro subscription should normally submit technical support requests and product feature requests through the License & Support section inside the applicable HappilyApps plugin when that feature is available.

Priority support means that requests from customers with active paid licenses receive priority placement within the HappilyApps support workflow. It does not guarantee an immediate response, a specific response time, continuous availability, or that every requested result will be technically possible.

Support generally covers:

  • License activation problems;

  • Installation assistance;

  • Troubleshooting documented Software features;

  • Confirmed Software errors;

  • Compatibility issues that we reasonably determine are caused by the Software; and

  • Guidance concerning supported HappilyApps features.

Support does not ordinarily include:

  • Custom software development;

  • Custom website development or design;

  • General WordPress or macOS training;

  • Repair of unrelated website or computer problems;

  • Hosting or server administration;

  • Problems caused by unsupported modifications;

  • Problems caused entirely by unrelated software, hardware, hosting providers, or external services;

  • Configuration or fees for unrelated third-party services; or

  • Recovery of lost data when appropriate backups were not maintained.

HappilyApps may decline or restrict abusive, threatening, fraudulent, repetitive, unlawful, or unrelated support requests.

Support Services

An eligible HappilyApps Pro license may include access to product support during the applicable support term. Support is provided subject to the current HappilyApps Support policies, eligibility requirements, and reasonable usage and abuse-prevention limits published on the HappilyApps website and presented within applicable HappilyApps products.

Support availability does not guarantee a particular response time, resolution time, or that every request will receive an automated response. Requests requiring additional investigation, code changes, security review, or human judgment may be held for manual review.

7. Updates and Compatibility

HappilyApps may release updates, bug fixes, security improvements, compatibility changes, enhancements, or new versions at its discretion.

Updates may be distributed directly by HappilyApps, through a software-update system, through WordPress, through Apple’s App Store, or through another authorized distribution method, depending on the product.

We do not guarantee that:

  • Every feature will remain unchanged;

  • Every product will receive updates according to a particular schedule;

  • The Software will remain compatible with every past or future system configuration;

  • The Software will remain compatible with every future version of macOS, WordPress, WooCommerce, PHP, or another platform;

  • Every supported file format will remain unchanged;

  • Every third-party service will continue to be available;

  • Every reported issue can be corrected; or

  • Older hardware or operating systems will remain supported indefinitely.

You are responsible for maintaining appropriate backups before using Software to modify important websites, databases, files, or other data.

For WordPress products, significant updates should be tested on a staging website whenever reasonably practical.

When using desktop Software to repair, convert, modify, or otherwise process files, you should retain an original or backup copy of important files whenever practical.

HappilyApps may discontinue obsolete, insecure, incompatible, or impractical features when reasonably necessary to maintain, secure, or improve the Software.

8. License Validation

Some paid HappilyApps Software may communicate periodically with HappilyApps licensing servers to activate a license, verify subscription status, prevent unauthorized license use, deliver updates, or provide licensed or hosted services.

Not every HappilyApps product uses a HappilyApps license-validation system.

Depending on the product, license validation may transmit limited technical information such as:

  • Website URL or domain;

  • License identifier;

  • Product name and version;

  • WordPress version;

  • PHP version;

  • Operating-system or application information when relevant;

  • Activation status;

  • Subscription status;

  • Error codes; and

  • Technical information reasonably necessary to operate the licensing system, diagnose activation problems, or prevent abuse.

The handling of personal information is also governed by the HappilyApps Privacy Policy.

When a HappilyApps product uses a license-validation system, you may not interfere with, falsify, bypass, disable, or attempt to defeat that system except to the extent such a restriction is prohibited by applicable law.

9. Diagnostic and Support Reports

Certain HappilyApps products may allow you to generate or submit diagnostic information to HappilyApps support.

A diagnostic report is transmitted only after you choose to submit it or otherwise authorize its submission.

Depending on the product and issue, diagnostic information may include:

  • Product or application version;

  • macOS version;

  • WordPress and PHP versions;

  • Plugin and theme information;

  • Product settings;

  • System or website configuration information;

  • Error messages;

  • Logs;

  • License status;

  • Recent relevant workflow activity; and

  • Other technical information reasonably necessary to investigate the reported problem.

You should review diagnostic information before submission when a review option is provided.

Do not intentionally include passwords, full payment-card information, private API keys, confidential customer information, or other unnecessary sensitive information.

HappilyApps may use automated or artificial-intelligence-assisted systems to classify, summarize, or analyze support reports. Automated findings may be incomplete or incorrect and may be reviewed, supplemented, or corrected by a human support representative.

10. Third-Party Services and Platforms

Some Software features may connect to, rely upon, or be distributed through third-party products, services, or platforms, including:

  • Apple and App Store services;

  • Operating-system services;

  • Artificial intelligence providers;

  • Image and media providers;

  • Payment processors;

  • Email services;

  • Content sources;

  • Analytics platforms;

  • WordPress services;

  • Hosting services; or

  • External APIs.

Unless expressly stated otherwise:

  • You are responsible for creating and maintaining any required third-party accounts;

  • You are responsible for applicable third-party charges, usage fees, quotas, and account limits;

  • You must comply with the third party’s applicable terms and policies;

  • HappilyApps does not control the availability or conduct of third-party services;

  • Third-party providers may change, restrict, suspend, or discontinue their services; and

  • HappilyApps is not responsible for third-party outages, pricing changes, data practices, content, errors, account decisions, or policy changes.

The failure, modification, or discontinuation of a third-party service or platform does not automatically entitle you to a refund from HappilyApps outside the applicable refund period.

11. Artificial Intelligence Features

Some HappilyApps products may generate, rewrite, summarize, classify, recommend, or analyze content using artificial intelligence.

Artificial intelligence output may be inaccurate, incomplete, outdated, misleading, repetitive, inappropriate, biased, fabricated, or similar to material created for other users.

You are responsible for reviewing and approving generated material before publishing, distributing, relying upon, or using it.

You should independently verify important facts, quotations, names, dates, legal claims, medical claims, financial claims, product claims, news reports, and other consequential information.

HappilyApps does not guarantee that generated content will be:

  • Factually correct;

  • Unique;

  • Free from intellectual-property concerns;

  • Appropriate for your audience;

  • Compliant with advertising or industry rules;

  • Accepted by search engines or publishing platforms; or

  • Suitable for any particular professional or commercial purpose.

Artificial-intelligence output is not legal, medical, financial, tax, accounting, or other professional advice.

12. Your Content, Files, and Responsibilities

You retain ownership of original content and files that you provide to or process using the Software, subject to rights reasonably necessary for the Software and any services you intentionally use to perform the requested functionality.

This may include:

  • Website content;

  • Images;

  • Video files;

  • Documents;

  • Databases;

  • Data;

  • Prompts;

  • Source material; and

  • Other files or information.

You are responsible for:

  • Having the necessary rights or permission to use content, images, video, data, files, and source material;

  • Reviewing generated or modified content when appropriate;

  • Maintaining appropriate backups of important websites, databases, files, and other data;

  • Securing your websites, computers, accounts, passwords, license keys, and API credentials;

  • Complying with applicable privacy, copyright, advertising, accessibility, consumer-protection, and other laws;

  • Obtaining required permissions or disclosures where applicable;

  • Following applicable third-party platform terms; and

  • Ensuring that your use of the Software does not unlawfully harm others.

When using HappilyApps Software to repair, convert, modify, or process a file, you should retain an original copy of important source material whenever practical.

You may not use the Software to create, distribute, promote, or facilitate unlawful, fraudulent, deceptive, infringing, malicious, or abusive activity.

13. Open-Source Components

The Software may include or interact with WordPress, libraries, frameworks, utilities, or other components distributed under the GNU General Public License or another open-source license.

Open-source components remain governed by their applicable licenses.

If a term of this Agreement conflicts with a right granted under a mandatory open-source license, the applicable open-source license controls with respect to that component.

Nothing in this Agreement is intended to remove rights that an applicable open-source license legally grants to you.

However, open-source rights do not grant you ownership of or unrestricted access to:

  • HappilyApps trademarks, logos, or branding;

  • Private customer accounts;

  • License keys or activation credentials;

  • HappilyApps update or license servers;

  • Paid support services;

  • Hosted services;

  • Subscription services;

  • Private databases;

  • Confidential materials; or

  • Third-party services separately licensed to HappilyApps or to you.

14. Restrictions

Except where an applicable open-source license or applicable law expressly permits otherwise, you may not:

  • Unlawfully copy, redistribute, sell, lease, sublicense, or transfer proprietary HappilyApps Software;

  • Share, sell, publish, or distribute a private HappilyApps license key;

  • Circumvent activation, subscription, usage, or security controls;

  • Use paid Software in a manner intended to avoid applicable license requirements;

  • Impersonate HappilyApps or suggest an unauthorized partnership;

  • Remove required copyright, trademark, attribution, or license notices;

  • Use HappilyApps branding to market a modified or unrelated product;

  • Gain unauthorized access to HappilyApps systems;

  • Introduce malicious code into HappilyApps services; or

  • Use the Software in a way that deliberately disrupts our services or harms other customers.

For WordPress products licensed for a specific number of websites, you may not:

  • Use a one-website license on multiple unrelated live websites;

  • Activate the paid Software for unrelated third parties using the same one-website license; or

  • Provide paid Software as a shared licensing service intended to avoid additional licenses.

Agencies and developers may install and manage HappilyApps WordPress Software for clients, but each client website must have an appropriate valid license unless another arrangement is expressly provided.

Restrictions in this section do not override rights that applicable law or an applicable open-source license gives you.

15. Intellectual Property and Trademarks

Except for open-source components and content belonging to you or third parties, HappilyApps retains all rights, title, and interest in its proprietary Software, services, documentation, website materials, user interfaces, original graphics, trademarks, branding, and proprietary technology.

“HappilyApps,” associated product names, logos, and branding may not be used in a manner that falsely suggests sponsorship, endorsement, partnership, certification, or authorization without written permission.

No trademark license is granted by this Agreement except for any limited use necessarily inherent in ordinary authorized use of the Software.

16. Beta and Experimental Features

HappilyApps may offer beta, preview, test, experimental, or early-access products or features.

These products or features may be incomplete, unstable, changed substantially, contain errors, produce unexpected results, or be discontinued without notice.

Beta and experimental features should not be relied upon for critical production use unless you are prepared to accept those risks and maintain appropriate backups.

17. Security and Backups

No software, computer system, website, transmission method, or online service can be guaranteed to be completely secure.

You are responsible for maintaining reasonable security appropriate to your use of the Software.

This may include:

  • Maintaining current backups;

  • Protecting important original files;

  • Using secure passwords;

  • Protecting customer accounts and license credentials;

  • Protecting API keys and other private credentials;

  • Keeping operating systems, WordPress, and related software reasonably current; and

  • Applying appropriate security updates.

You must notify HappilyApps promptly if you reasonably believe that a HappilyApps customer account, license key, or hosted service under your control has been compromised.

18. Suspension and Termination

HappilyApps may suspend or terminate access to paid services, license activations, hosted features, updates, downloads, or support when we reasonably believe that:

  • A license has been shared or deliberately misused;

  • Payment has failed, been reversed, or been fraudulently disputed;

  • The Software or licensing system is being abused;

  • You have attempted unauthorized access;

  • Your use threatens the security or availability of our services;

  • Your use violates applicable law; or

  • You have materially violated this Agreement.

When reasonably practical, we may provide an opportunity to correct a violation before permanent termination.

This section does not authorize HappilyApps to remotely disable functionality that is not dependent on a HappilyApps service unless the applicable product and license terms permit such action.

Termination does not eliminate obligations that arose before termination.

Open-source portions of the Software remain subject to their applicable open-source licenses.

19. Disclaimer of Warranties

To the fullest extent permitted by law, the Software and related services are provided “as is” and “as available.”

HappilyApps disclaims express and implied warranties to the fullest extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, uninterrupted availability, error-free operation, and compatibility.

We do not warrant that the Software will:

  • Meet every individual requirement;

  • Operate without interruption;

  • Be completely free from errors;

  • Be completely secure;

  • Work with every Mac, computer, operating-system version, website, server, hardware configuration, or software environment;

  • Successfully process every file, video, data format, or source file;

  • Produce a particular financial, traffic, publishing, ranking, or business result;

  • Prevent all file or data loss;

  • Remain compatible with every future operating-system or platform change; or

  • Remain compatible with changes made by third parties.

Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.

20. Limitation of Liability

To the fullest extent permitted by law, HappilyApps will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

This includes damages related to:

  • Lost profits or revenue;

  • Business interruption;

  • Lost, damaged, or corrupted data;

  • Lost, damaged, or corrupted video or other files;

  • Loss of media or content;

  • Website downtime;

  • Computer or system downtime;

  • Loss of goodwill;

  • Third-party service failures; or

  • Costs of replacement products or services.

You are responsible for retaining appropriate backups and original copies of important files and data.

For a paid product, to the fullest extent permitted by law, HappilyApps’ total liability arising from the Software, a subscription, or this Agreement will not exceed the amount you paid directly to HappilyApps for the affected product during the twelve months immediately preceding the event giving rise to the claim.

For Software provided free of charge, HappilyApps’ liability will be limited to the fullest extent permitted by applicable law.

These limitations apply regardless of the legal theory asserted and even when HappilyApps has been advised that damages are possible.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited.

21. Refunds and Payment Disputes

Refund eligibility for purchases made directly through HappilyApps is governed by the HappilyApps Refunds and Returns Policy and applicable law.

Purchases made through Apple’s App Store or another third-party marketplace, payment platform, reseller, or distributor are subject to the refund procedures applicable to the provider that processed the transaction.

HappilyApps cannot directly issue or reverse a refund for a transaction processed entirely by Apple or another third-party provider when HappilyApps does not control that transaction.

Before initiating a payment dispute or chargeback concerning a transaction processed directly by HappilyApps, you agree to make a reasonable effort to contact HappilyApps so that we can investigate billing, activation, cancellation, or technical issues.

Fraudulent chargebacks, deliberate misuse of payment-dispute procedures, or reversal of a valid direct purchase may result in suspension of associated paid licenses or services.

Nothing in this section limits consumer rights that cannot legally be waived.

22. Changes to the Software

HappilyApps may improve, modify, replace, or discontinue Software features when reasonably necessary for security, compatibility, legal compliance, service availability, product development, or technical maintenance.

We will make reasonable efforts to avoid unnecessarily removing significant paid functionality during an active subscription term.

However, we cannot guarantee the continued availability of a feature that relies on a third-party service or platform or that creates a significant security, legal, compatibility, or technical risk.

23. Changes to This Agreement

HappilyApps may update this Agreement from time to time.

Material changes affecting paid subscription products will generally apply upon your next subscription renewal, when you affirmatively accept the revised Agreement, or as otherwise permitted by applicable law.

Changes required for security, legal compliance, fraud prevention, distribution-platform requirements, or operation of a new feature may take effect sooner when permitted by law.

The Last Updated date at the top of this page identifies the latest revision.

Continued use after a revised Agreement becomes applicable constitutes acceptance of the revised terms to the extent permitted by law.

Changes to this Agreement do not override license terms imposed by an app store or other third-party distributor where those terms control.

24. Governing Law

This Agreement is governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles.

Any legal proceeding arising from this Agreement will be brought in a court of competent jurisdiction located in Washington State unless applicable consumer law gives you the right to bring a proceeding elsewhere.

Nothing in this section removes consumer rights that cannot legally be waived.

25. Severability

If any provision of this Agreement is found invalid or unenforceable, that provision will be limited or removed only to the extent necessary.

The remaining provisions will continue in effect.

26. No Waiver

A failure or delay by HappilyApps to enforce a provision of this Agreement does not waive our right to enforce that provision later.

27. Assignment

You may not assign or transfer a paid subscription, private license key, customer account, or rights under this Agreement without written permission from HappilyApps except where applicable law or another controlling license permits otherwise.

HappilyApps may assign this Agreement as part of a merger, reorganization, sale of assets, transfer of a product, or change in business ownership.

28. Entire Agreement and App Store Terms

For Software obtained directly from HappilyApps, this Agreement, together with the applicable:

  • Product page;

  • Terms and Conditions;

  • Privacy Policy;

  • Refunds and Returns Policy;

  • Checkout disclosures; and

  • Written product-specific or plan-specific terms

constitutes the agreement concerning your license and use of the Software.

If a product-specific term directly conflicts with this Agreement, the product-specific term controls for that product.

For a HappilyApps application obtained through Apple’s App Store, Apple’s applicable end-user license terms govern the license to the application unless HappilyApps provides a Custom End User License Agreement for that application through Apple.

Third-party platform terms may apply in addition to HappilyApps policies concerning matters such as privacy, support, and services where applicable.

Customers with an active HappilyApps Pro WordPress subscription should normally submit technical support and product feature requests through the License & Support section inside the applicable HappilyApps plugin when that option is available.

Billing or refund issues involving an App Store or other third-party transaction may need to be handled directly through the provider that processed the payment.

By purchasing, downloading, installing, activating, or using HappilyApps Software to which this Agreement applies, you acknowledge that you have read and agreed to this Software License Agreement and any other license terms that apply to the method through which you obtained the Software.
