Welcome to HappilyApps.
These Terms and Conditions (“Terms”) govern your access to and use of the HappilyApps website, customer account area, macOS applications, WordPress plugins, software downloads, annual subscriptions, support services, and other products or services we provide.
In these Terms, “HappilyApps,” “we,” “us,” and “our” refer to HappilyApps. “You” and “your” refer to the individual, business, or organization accessing our website or purchasing, downloading, or using our products.
By accessing HappilyApps.com, creating an account, purchasing a product, downloading software, or using a HappilyApps product or service, you agree to these Terms.
If you do not agree to these Terms, do not purchase, download, install, activate, or use our products or services.
1. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement to purchase our products or paid services.
When purchasing or using a product on behalf of a business or organization, you represent that you have the authority to accept these Terms on its behalf.
2. Our Products
HappilyApps develops and distributes macOS applications, WordPress plugins, and related software products and services.
Some HappilyApps products are available free of charge. Others may require a one-time purchase, paid license, annual subscription, or other payment as clearly stated on the applicable product page or distribution platform.
Product features, system requirements, pricing, subscription terms, license limits, and included services may differ between products. The applicable product page, checkout information, app-store listing, and product-specific terms form part of these Terms where relevant.
We may add, modify, replace, or discontinue products and features as our software develops.
3. Software Licenses
HappilyApps software is provided for use subject to the applicable license terms.
Purchasing a HappilyApps product does not transfer ownership of HappilyApps proprietary software, branding, services, or technology to you. A purchase or authorized download provides a limited right to install and use the applicable software according to its license terms.
WordPress Products
Unless the applicable product page or license states otherwise, paid HappilyApps WordPress licenses are generally licensed for use on the number of websites specified at the time of purchase.
For a one-website license:

The license may be activated on one live website;
-
Each additional unrelated live website requires a separate license;
-
A temporary development or staging installation may be permitted when used only for the same licensed website; and
-
License keys may not be publicly posted, shared, sold, transferred, or used to activate unrelated websites.
Detailed software-use and activation terms may also be provided in the HappilyApps Software License Agreement.
macOS Applications
HappilyApps macOS applications may be offered directly by HappilyApps, through Apple’s App Store, or through another authorized distribution method.
The license terms applicable to a macOS application may depend on how the application was obtained.
For applications distributed through Apple’s App Store, your use is also subject to Apple’s applicable terms and license conditions.
Unless expressly permitted, you may not unlawfully copy, redistribute, resell, modify, reverse engineer, or circumvent technical protections in proprietary HappilyApps software, except to the extent such restriction is prohibited by applicable law.
Open-source components included in a HappilyApps product remain subject to their applicable open-source licenses.
If these Terms conflict with a product-specific license agreement concerning installation, licensing, or use of a particular software product, the product-specific agreement controls for that issue.
4. Annual Subscriptions
Certain paid HappilyApps products, including HappilyApps Pro WordPress products, may be provided as annual subscriptions unless clearly stated otherwise on the applicable product page.
An active subscription may include:

Use of licensed paid features;
-
Software updates released during the subscription period;
-
Access to available security and compatibility updates;
-
License activation services;
-
Paid or hosted features, when applicable; and
-
Priority product support.
The subscription period and included benefits will be identified on the applicable product page or during checkout.
Unless stated otherwise, an annual subscription begins on the purchase date and continues for one year.
Not every HappilyApps product requires a subscription.
5. Automatic Renewal and Price Protection
When you authorize automatic renewal for a subscription purchased directly through HappilyApps, the subscription renews each year under the terms disclosed during checkout unless you turn off automatic renewal or cancel before the renewal date.
For each eligible annual subscription purchased directly from HappilyApps, the recurring yearly base price identified at checkout remains protected while that same subscription stays continuously active. We will not raise that protected base price on future renewals of the same continuously active subscription.
Price protection applies to the base subscription price only. Taxes, government charges, optional add-ons, additional websites or license capacity, third-party provider or API charges, and customer-requested plan changes are separate and may change.
We may change prices for new purchases. If a subscription reaches canceled or expired status and you later purchase again, the price and terms then offered to new customers will apply. A temporary failed-payment or on-hold status during an authorized payment-retry or grace period does not by itself end price protection if the subscription is restored before it is canceled or expires.
You are responsible for maintaining accurate billing and payment information. A failed renewal payment may cause subscription benefits, updates, support, downloads, hosted features, or license services to be suspended or discontinued.
Subscriptions purchased through an app store or another third-party provider are subject to that provider’s billing, pricing, and renewal procedures.
6. Canceling a Subscription
You may cancel automatic renewal for a subscription purchased directly through HappilyApps through your HappilyApps customer account when that feature is available or by contacting HappilyApps.
Canceling automatic renewal prevents the next scheduled renewal charge. It does not normally terminate the subscription period that you have already paid for.
After cancellation, you may generally continue accessing the benefits included with your subscription until the end of the current paid subscription term.
Canceling a subscription does not automatically generate a refund. Refund requests are governed by the refund provisions below and by the HappilyApps Refunds and Returns Policy.
Subscriptions purchased through an app store or other third-party provider must be managed or canceled through that provider.
7. Refund Policy
HappilyApps offers a 14-day refund period for eligible purchases and annual subscription renewal charges made directly through HappilyApps.
A refund request must be submitted within 14 calendar days of the applicable charge unless a different period is required by law.
To request a refund for a purchase made directly through HappilyApps, contact HappilyApps through the support or contact options available on our website and provide enough information for us to identify the purchase.
Approved refunds will normally be returned to the original payment method.
The following may not be refundable:

Charges imposed directly by third-party providers;
-
API usage charges;
-
Hosting fees;
-
Artificial intelligence or image-provider charges;
-
Payment-processing or currency-conversion charges not retained by HappilyApps;
-
Purchases made more than 14 days before the refund request;
-
Accounts involving fraud, license sharing, or deliberate abuse;
-
Services that have already been fully performed; or
-
Purchases made through a third-party marketplace, reseller, app store, payment platform, or distributor when that provider controls the refund process.
Purchases made through Apple’s App Store are processed through Apple’s systems. Refund requests for those purchases must be submitted through Apple’s applicable refund process.
Submitting a refund request does not require you to provide extensive technical proof that a product failed. However, we may ask for basic information to identify the purchase, understand the issue, prevent fraud, or improve the product.
An approved refund may result in deactivation of a paid license and removal of access to paid downloads, updates, premium features, subscription services, or priority support.
Nothing in this section limits refund or cancellation rights that cannot legally be waived.
Additional terms are provided in the HappilyApps Refunds and Returns Policy.
8. Software Updates
HappilyApps may provide software updates for free and paid products.
Active subscribers may receive updates made available during the applicable subscription period.
Updates may include:

Bug fixes;
-
Security improvements;
-
Compatibility changes;
-
Performance improvements;
-
Interface changes;
-
New features;
-
Modified features; or
-
Removal of outdated, insecure, unsupported, or impractical features.
We do not guarantee that every product will receive updates on a particular schedule.
We also do not guarantee permanent compatibility with every version of macOS, WordPress, WooCommerce, PHP, web browser, server environment, computer or hardware configuration, theme, plugin, API, file format, or third-party service.
For website software, you are responsible for maintaining appropriate backups before installing or updating software. When practical, significant website updates should be tested on a staging website before being applied to a live production website.
9. Product Support
Support availability depends on the applicable HappilyApps product.
macOS App Support
Support for HappilyApps macOS applications is available through the support or contact options provided at HappilyApps.com.
Support may include assistance with:

Installation or launching the application;
-
Questions about documented product features;
-
Supported compatibility issues;
-
Troubleshooting confirmed product errors; and
-
General assistance using the application as designed.
When requesting macOS application support, you may be asked to provide the app name, app version, macOS version, and a description of the issue.
Free WordPress Plugins
Free HappilyApps WordPress plugins include access to available public documentation and software updates.
Unless otherwise stated, individualized technical support is not included with free WordPress Core products.
Pro WordPress Plugin Support
Customers with an active HappilyApps Pro WordPress subscription receive priority product support unless the applicable product page states otherwise.
Pro WordPress customers should normally submit technical support requests and feature requests through the License & Support section inside the applicable HappilyApps plugin when that feature is available.
This may allow the plugin to provide relevant product, version, license, and diagnostic information needed to assist with the request.
Priority support means that requests from customers with active subscriptions receive priority within our normal support workflow. It does not guarantee an immediate response, continuous availability, a particular response time, or a specific resolution.
Support does not ordinarily include:

Custom website development;
-
Custom software or plugin development;
-
Website design;
-
General WordPress instruction;
-
Hosting or server management;
-
Repair of unrelated website or computer problems;
-
Recovery of data when appropriate backups were not maintained;
-
Configuration of unrelated third-party accounts;
-
Payment of third-party charges; or
-
Problems caused by unauthorized or unsupported software modifications.
We may decline or restrict support for abusive, threatening, fraudulent, unlawful, repetitive, or unrelated requests.
Pro Support
Customers with an eligible HappilyApps Pro subscription receive access to Pro support for the applicable product and licensed website during the eligible support term.
Pro support is subject to reasonable usage and abuse-prevention limits, including limits on open tickets, new ticket submissions, follow-ups, and feature requests. Current support procedures and usage limits are published on the HappilyApps Support page and may be updated as reasonably necessary to maintain the availability, security, and quality of the support service.
Closing or canceling a support ticket does not necessarily remove that ticket from applicable rolling submission limits.
10. Customer Accounts
Some HappilyApps products or services may require a HappilyApps customer account.
You agree to provide accurate and current account information and to update that information when necessary.
You are responsible for:

Protecting your account password;

Protecting your license keys;
-
Restricting access to your account;
-
Reviewing activity associated with your account; and
-
Promptly notifying us of suspected unauthorized use.
You may not impersonate another individual or organization, create an account using intentionally false information, or access another customer’s account without permission.
HappilyApps is not responsible for losses caused by your failure to safeguard your login credentials, license keys, website, email account, computer, or payment account.
11. Acceptable Use
You agree to use HappilyApps products and services lawfully and responsibly.
You may not use our website, software, accounts, licensing system, or services to:

Violate any applicable law or regulation;

Infringe another person’s copyright, trademark, privacy, or other rights;
-
Distribute malware, harmful code, spam, or fraudulent content;
-
Gain unauthorized access to computers, websites, accounts, servers, or data;
-
Deceive or impersonate another person or organization;
-
Circumvent license activation or subscription controls;
-
Share or resell license keys without authorization;
-
Interfere with the operation or security of our services;
-
Excessively burden our servers through automated requests;
-
Collect information about other users without authorization;
-
Publish unlawful, abusive, threatening, or deliberately harmful material; or
-
Use the software for fraudulent, deceptive, or malicious activity.
We may investigate suspected misuse and suspend or terminate access when reasonably necessary to protect HappilyApps, our customers, third parties, or the public.
12. Artificial Intelligence Features
Some HappilyApps products may connect to artificial intelligence services or provide tools that generate, rewrite, summarize, classify, recommend, or analyze content.
Artificial intelligence output may contain:

Incorrect information;
-
Outdated information;
-
Missing context;
-
Repetitive wording;
-
Fabricated details;
-
Inappropriate recommendations;
-
Biased results; or
-
Material resembling content generated for other users.
You are responsible for reviewing generated content before publishing, distributing, relying upon, or using it.
Important facts, quotations, names, dates, claims, and source information should be independently verified.
HappilyApps does not guarantee that generated content will be:

Factually accurate;
-
Unique;
-
Free from intellectual-property concerns;
-
Suitable for your audience;
-
Accepted by a search engine or publishing platform;
-
Compliant with every law or professional standard; or
-
Appropriate for a particular business purpose.
Artificial intelligence output is not legal, medical, financial, accounting, tax, or other professional advice.
13. Third-Party Services and Platforms
HappilyApps products may integrate with, depend upon, or be distributed through third-party services and platforms, including:

Apple and app-store services;
-
Operating-system services;
-
Artificial intelligence providers;
-
Image and media providers;
-
Payment processors;
-
Email providers;
-
Search services;
-
News and content sources;
-
WordPress services;
-
Hosting providers; and
-
External APIs.
Your use of a third-party service may require a separate account and may be governed by that provider’s own terms and privacy policy.
Unless expressly stated otherwise, you are responsible for:

Opening and maintaining required third-party accounts;
-
Protecting third-party API keys and credentials;
-
Paying third-party charges;
-
Monitoring usage limits and quotas;
-
Complying with the provider’s terms; and
-
Confirming that the service is appropriate for your intended use.
HappilyApps does not control and is not responsible for third-party pricing, availability, outages, content, data practices, account suspensions, policy changes, compatibility changes, or service discontinuation.
A third-party service or platform changing or ending its service does not automatically entitle you to a refund from HappilyApps outside the applicable refund period.
14. Your Content and Files
You retain ownership of the original content, files, and information that you submit to or process using HappilyApps software, subject to any rights reasonably necessary to provide the functionality you request.
This may include:

Website content;

Images;
-
Video files;
-
Documents;
-
Data;
-
Prompts;
-
Source material; and
-
Other files or information selected or provided by you.
You represent that you have the necessary rights and permissions to use and process content or files that you provide to HappilyApps software.
You are responsible for the content you create, import, process, generate, publish, or distribute using HappilyApps software.
You must not submit or process information that you are prohibited from possessing, sharing, or processing.
15. Privacy
Our collection and handling of personal information are governed by the HappilyApps Privacy Policy.
Some HappilyApps software may communicate with HappilyApps servers for purposes such as:

License activation;

Subscription verification;
-
Software updates;
-
Security;
-
Fraud prevention;
-
Technical diagnostics; and
-
Customer support.
Not every HappilyApps product uses all of these functions.
Some products may perform their primary processing locally on your computer without transmitting the files you process to HappilyApps.
Third-party integrations may separately collect or process information under their own privacy policies.
16. Diagnostic Information
Some HappilyApps products may allow you to generate or submit diagnostic information when requesting support.
Depending on the product, diagnostic information may include:

Application or plugin version;
-
macOS version;
-
WordPress and PHP versions;
-
Plugin and theme information;
-
Product settings;
-
Website or system configuration details;
-
Error messages;
-
Logs;
-
License status; and
-
Other technical information relevant to the problem.
Diagnostic information is not intended to include the contents of unrelated personal files unless you knowingly provide them as part of a support request.
You should not intentionally include passwords, full payment-card information, confidential personal information, private API keys, or other unnecessary sensitive credentials in a support report.
HappilyApps may use automated tools, including artificial intelligence, to help categorize, summarize, or analyze diagnostic reports. Automated analysis may be incomplete and may be reviewed or corrected by a human.
17. Intellectual Property
HappilyApps retains all rights, title, and interest in its original website content, proprietary software, interfaces, documentation, graphics, branding, logos, trademarks, hosted services, licensing systems, and proprietary technology, except for components owned by customers or third parties.
Open-source components remain subject to their applicable open-source licenses.
No purchase or download grants you ownership of HappilyApps trademarks, branding, customer systems, hosted services, private databases, license servers, or confidential business information.
You may not use HappilyApps names, logos, or branding in a manner that falsely suggests sponsorship, certification, endorsement, partnership, or authorization.
18. Website and Product Information
Information on the HappilyApps website and product listings is provided for general informational purposes.
We make reasonable efforts to keep product descriptions and documentation current, but website content, app-store listings, screenshots, or documentation may occasionally contain errors, omissions, outdated information, or differences from the latest software version.
We may correct errors, update information, or revise product descriptions without prior notice.
Screenshots, demonstrations, examples, and sample output are illustrative and do not guarantee identical results on every website, computer, file, or system.
19. Product Availability
We may:

Add or remove products;
-
Limit product availability;
-
Stop selling or distributing a product;
-
Replace a product;
-
Rename or reorganize features;
-
Discontinue an integration; or
-
End support for an obsolete product.
When reasonably practical, customers with active paid subscriptions will receive notice of a material product discontinuation affecting subscription benefits.
A product discontinuation does not remove rights granted under an applicable open-source license. However, access to future updates, hosted services, license services, downloads, or paid support may end where applicable.
Products distributed through a third-party store or platform may also be affected by that provider’s distribution requirements and availability.
20. Beta and Experimental Features
We may provide beta, preview, experimental, or early-access products or features.
These products or features may be incomplete, unstable, inaccurate, changed significantly, or discontinued without notice.
You should not rely on beta or experimental software for critical operations without appropriate testing, monitoring, and backups.
21. Backups, Files, and System Security
You are responsible for maintaining appropriate backups of important files, website data, settings, databases, and other information before using software in a manner that could materially modify them.
When using HappilyApps software with a WordPress website, you are also responsible for:

Maintaining reliable and current website backups;

Maintaining website security;
-
Keeping WordPress and related software updated;
-
Protecting administrator accounts;
-
Protecting API credentials;
-
Reviewing generated or imported content; and
-
Testing material changes before applying them to a live website.
When using a HappilyApps desktop application to process files, you should retain an original or backup copy of important files when practical.
HappilyApps is not a general website hosting, cybersecurity, file-storage, or disaster-recovery service unless a particular product expressly states otherwise.
22. Suspension and Termination
We may suspend or terminate access to an account, paid license, download, update service, hosted feature, or support service when we reasonably believe that:

Payment has failed or been reversed;
-
A license is being shared or misused;
-
Fraudulent activity has occurred;
-
Our systems are being attacked or disrupted;
-
You have attempted unauthorized access;
-
Your actions create a legal or security risk;
-
You have abused our support services; or
-
You have materially violated these Terms.
When reasonably possible, we may give you an opportunity to correct the issue before permanent termination.
You may stop using our products at any time. Stopping use does not automatically create a refund right outside the applicable refund period.
Sections that logically should continue after termination—including payment obligations, intellectual-property protections, warranty disclaimers, liability limitations, and dispute provisions—will remain in effect.
23. Disclaimer of Warranties
To the fullest extent permitted by law, HappilyApps products, website content, downloads, and services are provided “as is” and “as available.”
We do not guarantee that our products or services will:

Operate without interruption;
-
Be completely free from errors;
-
Be completely secure;
-
Work with every operating system, computer, server, website, hardware configuration, file type, or third-party environment;
-
Remain compatible with every future version of macOS, WordPress, or another platform;
-
Remain compatible with every third-party product or service;
-
Successfully process every file or data format;
-
Produce particular business results;
-
Increase website traffic or revenue;
-
Improve search-engine rankings;
-
Prevent all data or file loss; or
-
Meet every individual requirement.
HappilyApps disclaims all implied warranties to the fullest extent permitted by law, including warranties of merchantability, fitness for a particular purpose, title, and noninfringement.
Some jurisdictions do not permit certain warranty exclusions. In those jurisdictions, these exclusions apply only to the extent legally permitted.
24. Limitation of Liability
To the fullest extent permitted by law, HappilyApps will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages.
This includes damages related to:

Lost profits or revenue;

Lost, damaged, or corrupted files or data;
-
Loss of media or content;
-
Website downtime;
-
Computer or system downtime;
-
Business interruption;
-
Loss of goodwill;
-
Search-engine ranking changes;
-
Third-party service or platform failures;
-
Published content;
-
Security incidents outside our reasonable control; or
-
The cost of substitute products or services.
You are responsible for maintaining appropriate backups of important files and data.
To the fullest extent permitted by law, HappilyApps’ total liability arising from a paid product, subscription, service, or these Terms will not exceed the amount you paid directly to HappilyApps for the affected product during the 12 months immediately preceding the event giving rise to the claim.
For a product provided free of charge, HappilyApps’ liability will be limited to the fullest extent permitted by applicable law.
Nothing in these Terms excludes liability that cannot legally be excluded or limited.
25. Indemnification
To the extent permitted by law, you agree to indemnify and hold HappilyApps harmless from claims, damages, liabilities, losses, and reasonable expenses arising from:

Your unlawful use of our products;

Content or files you create, submit, publish, process, or distribute;
-
Your violation of another party’s rights;
-
Your violation of these Terms; or
-
Your misuse of a third-party service through our software.
This obligation does not apply to the extent that a claim was directly caused by HappilyApps’ own unlawful conduct.
26. Governing Law
These Terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-law principles.
Legal proceedings arising from these Terms will be brought in a court of competent jurisdiction in Washington State unless applicable consumer law permits or requires another location.
Nothing in these Terms removes consumer rights that cannot legally be waived.
27. Changes to These Terms
We may update these Terms to reflect:

Changes to our products;
-
New products or features;
-
Security requirements;
-
Business changes;
-
Legal or regulatory developments;
-
Distribution-platform requirements; or
-
Changes to third-party services.
The effective revision date will be displayed at the top of this page.
Material changes will generally apply when you renew a subscription, purchase another product, affirmatively accept the revised Terms, or continue using an applicable service after receiving appropriate notice.
28. Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be limited or removed only to the extent necessary.
The remaining provisions will continue in effect.
29. No Waiver
A delay or failure by HappilyApps to enforce a provision of these Terms does not waive our right to enforce it later.
30. Assignment
You may not assign or transfer your customer account, paid subscription, license, or rights under these Terms without written authorization from HappilyApps, except where an applicable license or law permits otherwise.
HappilyApps may assign these Terms as part of a merger, sale, reorganization, transfer of a product, or change in business ownership.
31. Entire Agreement
These Terms, together with the applicable:

Software License Agreement;

Privacy Policy;
-
Refunds and Returns Policy;
-
Product-specific license or terms;
-
Product-page terms;
-
App-store terms, when applicable; and
-
Checkout disclosures
constitute the agreement between you and HappilyApps concerning your purchase, download, and use of our products and services.
When product-specific terms directly conflict with these general Terms, the product-specific terms control for that product to the extent permitted by applicable law.
Products obtained through a third-party platform may also be subject to that platform’s applicable terms.

Customers with an active Pro WordPress plugin subscription should normally use the License & Support section inside the applicable plugin for technical support and product feature requests when that option is available.
Billing and refund matters for purchases processed by an app store or other third-party provider may need to be handled directly through that provider.
By purchasing, downloading, installing, activating, or using a HappilyApps product or service, you acknowledge that you have read and agreed to these Terms and Conditions.
